You may use the Services only if:

• You are at least 18 years old
• You have the legal capacity to enter this agreement and accept responsibility for its obligations
• You are not barred from using the Services under applicable law
• You comply with these Terms

If you use the Services on behalf of a company, agency, or other entity, you represent that you have authority to bind that entity to these Terms.

ClipScore is an AI growth and content assistant for Instagram creators. It helps you understand your account and relevant content patterns, find opportunities suited to your goals, and turn them into original ideas, Scripts, and production plans. Chat is the conversational assistant; Studio organizes your saved work and insights. Features available to your account may include:

• Chat assistance informed by your creator identity, preferences, goals, and available account context
• Studio spaces for Your Account, Goals, Reels, Video Analysis, Trends, Creators, Strategy, Scripts, and Calendar, plus quick check-ins in Chat and notifications that link your posts to the ideas they came from
• Creator Blueprints and reference examples that explain observed content and production patterns
• Relevant trend and format discovery, content ideas, plans, hooks, Scripts, rewrites, and filming or editing guidance
• Analysis of your videos and available account performance, with comparisons and recommendations for your next content
• Saved conversations, creator context, work, and observed results that can inform later recommendations
• Optional Instagram account connection and insights, subject to availability, permissions, and approvals

Features and included usage vary by plan and availability. Organizing work in Calendar does not mean ClipScore automatically publishes it. Personalization uses available context and evidence; it does not promise that a new model is trained on your account. We may add, remove, or modify features at any time.

To use certain features, you may need to create an account. You agree to:

• Provide accurate and complete information
• Keep your login credentials secure
• Promptly update your information if it changes
• Accept responsibility for activity that occurs under your account

You may not share your account except where a team or multi-user plan expressly allows it.

“User Content” means any content you upload, submit, connect, post, sync, transmit, or otherwise make available through the Services, including video files, audio, captions, Chat messages, creator preferences and goals, saved plans and Scripts, metadata, connected account data, and related materials.

You retain ownership of your User Content.

This license does not override third-party rights or Meta’s restrictions on information obtained through its platforms (“Meta Platform Data”). Meta Platform Data includes derived, aggregated, and de-identified forms of that data. The additional limits in Connected Platforms and Platform Compliance apply to it.

You grant ClipScore a limited, non-exclusive, worldwide license to host, store, process, reproduce, analyze, transmit, and display your User Content only as reasonably necessary to operate and provide the Services, generate results and recommendations, maintain your account, troubleshoot and secure the Services, and comply with law.

You represent and warrant that:

• You own or control all rights necessary to submit the User Content
• Your User Content does not infringe any third-party rights
• Your User Content and use of the Services comply with applicable law and platform rules

The Services may generate Chat answers, ideas, plans, Scripts, production guidance, Blueprints, pattern summaries, recommendations, and video-analysis outputs using AI.

You understand and agree that:

• Outputs are provided for informational and product-assistance purposes only
• Outputs may be incomplete, inaccurate, or imperfect
• Outputs are not professional advice
• Observed patterns, popularity, or a successful reference video do not establish what caused growth or guarantee that the same approach will work for your account
• ClipScore does not guarantee follower growth, reach, engagement, virality, revenue, a particular number of views, or platform monetization eligibility

Review outputs before using or publishing them. Reference examples are inspiration; they do not grant rights to copy another creator’s protected content. You are responsible for deciding whether and how to use an output and for content you publish.

Where available, you may choose to connect your Instagram professional account using Meta’s official authorization flow. You must own the account or have authority to connect it. We request access to identify your account and read its content and available performance insights to provide the features you request. We do not ask you to give ClipScore your Instagram password.

When we act as a Tech Provider, we process Meta Platform Data only on behalf of and at the direction of the applicable customer, for that customer’s permitted use of the Services. Customer data must be kept separate from other customers’ data. It may not be used for our own unrelated purposes, another customer’s benefit, a shared reference corpus, or general model training. Aggregation, de-identification, or a broad content license does not remove these restrictions.

Sharing of this data is limited to the applicable customer, service providers acting under written restrictions for the same permitted purpose, a customer-directed service provider where Meta permits it, or disclosures required by law. You agree not to process data received through ClipScore in a way that violates applicable Meta terms, policies, permissions, or content owners’ rights.

You acknowledge and agree that:

• Your use of third-party platforms remains subject to their own terms and policies
• We are not responsible for third-party services, APIs, outages, or policy changes
• If a third-party platform limits or removes access, ClipScore may suspend or modify affected features without liability
• A connection does not authorize us to publish, message, or take other actions on your behalf; any such feature would require separate availability, permissions, and consent
• You may disconnect in account settings and request deletion of connected-platform data at our data deletion page, without deleting your entire ClipScore account

Access depends on Meta’s permissions and approvals. ClipScore is an independent service and is not endorsed by, sponsored by, or affiliated with Meta or Instagram.

Plans provide a monthly usage allowance, and paid plans may offer additional features and model access. Some work consumes that allowance. The pricing page and checkout explain the current plan, price, included allowance, and any optional top-ups.

If you purchase a paid plan:

• You agree to pay all fees and applicable taxes. Where we collect sales tax or VAT, it is included in the price shown
• You authorize us to charge your selected payment method
• Recurring subscriptions renew automatically unless canceled before the next billing date
• Prices, plans, features, and included usage may change from time to time

No refunds (launch policy)

Right to cancel in the EU, the EEA and the UK

If you live in the European Union, Iceland, Liechtenstein, Norway or the United Kingdom, the law may give you 14 days to cancel a purchase, and these Terms do not take that right away. Plans and usage start as soon as you pay. Where checkout asks you to request that start, you can still cancel within the 14 days and pay for the part of the service already provided, and the right ends once the service has been fully provided (for added usage, once all of it has been used). To cancel within the 14 days, email team@clipscore.ai.

In addition:

• Canceling stops future renewals; you keep access through the end of the current paid period (see Cancellation)
• Switching plans, including between monthly and yearly billing: the new plan starts immediately and Stripe prorates the change. You get credit for the unused part of your current plan and are charged for the new plan for the time it covers. Both show on your invoices
• These adjustments are calculated by Stripe and are not refunds. Any balance left in your favor stays on your billing account for future invoices and is never paid out as money, including if you cancel
• Unused credits do not expire unless clearly disclosed at purchase
• Nothing in this section limits any non-waivable refund or withdrawal rights you may have under applicable law

Included usage is measured in real work our systems perform for your account. Automated or scripted access, account sharing, or sustained use far beyond your plan’s included work may be slowed or paused. Top-ups are prepaid usage for your account and do not expire. Like every purchase above, they are final sales except where the law requires a refund.

You may cancel your subscription at any time through your account settings or by contacting team@clipscore.ai.

Unless otherwise stated:

• Cancellation stops future renewals
• Charges already paid are not refunded except where required by law
• You retain access through the end of the paid billing period

Nothing in these Terms limits any refund or withdrawal rights you may have under applicable law.

You may not use the Services to:

• Violate any law or regulation
• Infringe intellectual property, privacy, publicity, or other rights
• Upload unlawful, abusive, defamatory, fraudulent, or deceptive content
• Process content you do not have the right to use
• Interfere with or disrupt the Services
• Reverse engineer, scrape, probe, or exploit the Services except as permitted by law
• Gain unauthorized access to accounts, systems, or data
• Use the Services to build a competing product by unauthorized extraction of core functionality
• Submit malware, harmful code, or malicious payloads
• Sell or license Meta Platform Data, conduct surveillance, or use it for discriminatory treatment or eligibility decisions about housing, employment, credit, insurance, education, or similar opportunities
• Re-identify protected data, bypass platform permissions, or buy, sell, or exchange artificial followers, likes, comments, or other engagement
• Build or augment profiles using Meta Platform Data without valid consent and the permissions required by Meta

We may investigate violations and take any action we reasonably consider appropriate, including suspension or termination.

If you use ClipScore in connection with Instagram or other platforms, you are responsible for complying with those platforms’ terms and policies, all applicable advertising and consumer disclosure rules, and all intellectual property, privacy, and publicity requirements applicable to your content.

You must comply with applicable Meta Platform Terms, Developer Policies, and Instagram terms when using Meta Platform Data through the Services. We may restrict access when required by Meta or necessary to enforce these obligations. Your responsibilities do not remove ClipScore’s own obligations as a provider.

The Services, including all software, design, branding, interfaces, models, workflows, reports, and content made available by ClipScore other than User Content, are owned by ClipScore or its licensors and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business or personal use.

You may not:

• Copy, reproduce, modify, distribute, sell, lease, or sublicense the Services except as expressly permitted
• Remove proprietary notices
• Use our name, logo, or branding without prior written permission

If you submit ideas, suggestions, comments, or feedback about the Services, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback without compensation to you. This does not grant additional rights to personal information, third-party content, or Meta Platform Data contained in feedback.

Your use of the Services is also governed by our Privacy Policy. By using the Services, you acknowledge that we may collect, use, and disclose information as described in that Privacy Policy.

We do not guarantee that the Services will be uninterrupted, error-free, secure, or available at all times. We may suspend, restrict, or discontinue all or part of the Services for maintenance, security reasons, legal compliance, or business reasons.

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms, create risk or legal exposure, use the Services fraudulently or unlawfully, have overdue payments, or if required by law.

Upon termination:

• Your right to use the Services ends immediately
• Data is handled under our Privacy Policy and data deletion instructions; Meta Platform Data is deleted when required by Meta, a verified user or customer request, or the end of its permitted service purpose, unless retention is legally required
• Provisions that by their nature should survive termination will survive

We do not warrant that:

• The Services will meet your requirements
• The Services will be error-free or uninterrupted
• The outputs will be accurate or reliable
• Any content will achieve any particular performance result

To the maximum extent permitted by law, our total liability for any claim will not exceed the greater of the amount you paid to ClipScore in the 12 months before the claim arose, or USD $100.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

You agree to defend, indemnify, and hold harmless ClipScore and its officers, directors, employees, affiliates, contractors, and service providers from any claims, liabilities, damages, losses, costs, and expenses arising out of or related to:

• Your User Content
• Your use of the Services
• Your breach of these Terms
• Your violation of any law or third-party right
• Your use of connected platform data or third-party integrations

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to conflict of law rules. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in New Castle County, Delaware, unless applicable law requires otherwise.

We may update these Terms from time to time. If we make material changes, we will post the updated version and update the “Last Updated” date. Your continued use of the Services after the updated Terms become effective means you accept the revised Terms.

These Terms, together with the Privacy Policy and any additional plan or feature-specific terms we provide, form the entire agreement between you and ClipScore regarding the Services.

• If any provision is found unenforceable, the remaining provisions remain in full force
• Our failure to enforce any provision is not a waiver of that provision
• You may not assign these Terms without our prior written consent
• We may assign these Terms in connection with a merger, acquisition, or sale of assets
