You may use the Services only if:

• You are at least 18 years old
• You can form a legally binding contract with us
• You are not barred from using the Services under applicable law
• You comply with these Terms

If you use the Services on behalf of a company, agency, or other entity, you represent that you have authority to bind that entity to these Terms.

ClipScore provides tools for analyzing short-form video content before posting, including but not limited to:

• Video upload and processing
• AI-generated scoring and recommendations
• Retention and performance insights
• Linked third-party platform analytics
• Related reporting, storage, and account features

We may add, remove, or modify features at any time.

To use certain features, you may need to create an account. You agree to:

• Provide accurate and complete information
• Keep your login credentials secure
• Promptly update your information if it changes
• Accept responsibility for activity that occurs under your account

You may not share your account except where a team or multi-user plan expressly allows it.

“User Content” means any content you upload, submit, connect, post, sync, transmit, or otherwise make available through the Services, including video files, audio, captions, text inputs, metadata, connected account data, and related materials.

You retain ownership of your User Content.

You grant ClipScore a limited, non-exclusive, worldwide license to host, store, process, reproduce, analyze, transmit, and display your User Content only as reasonably necessary to operate and provide the Services, generate results and recommendations, maintain your account, troubleshoot and secure the Services, and comply with law.

You represent and warrant that:

• You own or control all rights necessary to submit the User Content
• Your User Content does not infringe any third-party rights
• Your User Content and use of the Services comply with applicable law and platform rules

The Services may generate scores, recommendations, rankings, predictions, or other outputs based on automated systems, including AI and machine learning tools.

You understand and agree that:

• Outputs are provided for informational and product-assistance purposes only
• Outputs may be incomplete, inaccurate, or imperfect
• Outputs are not professional advice
• ClipScore does not guarantee that any content will perform, go viral, achieve a particular number of views, generate revenue, or meet platform monetization criteria

You are solely responsible for deciding whether and how to use any output from the Services.

ClipScore may allow you to connect third-party accounts or services, including Instagram, TikTok, YouTube, payment providers, and other integrations. By connecting a third-party service, you authorize us to access and use the data made available through that integration as necessary to provide the Services.

You acknowledge and agree that:

• Your use of third-party platforms remains subject to their own terms and policies
• We are not responsible for third-party services, APIs, outages, or policy changes
• If a third-party platform limits or removes access, ClipScore may suspend or modify affected features without liability

Some features may require payment, a subscription, usage-based billing, or credits.

If you purchase a paid plan:

• You agree to pay all fees and applicable taxes
• You authorize us to charge your selected payment method
• Recurring subscriptions renew automatically unless canceled before the next billing date
• Prices, plans, features, and included usage may change from time to time

No refunds (launch policy)

In addition:

• Canceling stops future renewals; you keep access through the end of the current paid period (see Cancellation)
• Unused credits do not expire unless clearly disclosed at purchase
• Nothing in this section limits any non-waivable refund or withdrawal rights you may have under applicable law

You may cancel your subscription at any time through your account settings or by contacting team@clipscore.ai.

Unless otherwise stated:

• Cancellation stops future renewals
• Charges already paid are not refunded except where required by law
• You retain access through the end of the paid billing period

Nothing in these Terms limits any refund or withdrawal rights you may have under applicable law.

You may not use the Services to:

• Violate any law or regulation
• Infringe intellectual property, privacy, publicity, or other rights
• Upload unlawful, abusive, defamatory, fraudulent, or deceptive content
• Process content you do not have the right to use
• Interfere with or disrupt the Services
• Reverse engineer, scrape, probe, or exploit the Services except as permitted by law
• Gain unauthorized access to accounts, systems, or data
• Use the Services to build a competing product by unauthorized extraction of core functionality
• Submit malware, harmful code, or malicious payloads

We may investigate violations and take any action we reasonably consider appropriate, including suspension or termination.

If you use ClipScore in connection with Instagram, TikTok, YouTube, or other platforms, you are responsible for complying with those platforms’ terms and policies, all applicable advertising and consumer disclosure rules, and all intellectual property, privacy, and publicity requirements applicable to your content.

ClipScore is not responsible for your relationship with any platform, your platform account status, or your compliance obligations on those platforms.

The Services, including all software, design, branding, interfaces, models, workflows, reports, and content made available by ClipScore other than User Content, are owned by ClipScore or its licensors and are protected by applicable intellectual property laws.

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Services for your internal business or personal use.

You may not:

• Copy, reproduce, modify, distribute, sell, lease, or sublicense the Services except as expressly permitted
• Remove proprietary notices
• Use our name, logo, or branding without prior written permission

If you submit ideas, suggestions, comments, or feedback about the Services, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback without restriction or compensation to you.

Your use of the Services is also governed by our Privacy Policy. By using the Services, you acknowledge that we may collect, use, and disclose information as described in that Privacy Policy.

We do not guarantee that the Services will be uninterrupted, error-free, secure, or available at all times. We may suspend, restrict, or discontinue all or part of the Services for maintenance, security reasons, legal compliance, or business reasons.

We may suspend or terminate your access to the Services at any time, with or without notice, if you violate these Terms, create risk or legal exposure, use the Services fraudulently or unlawfully, have overdue payments, or if required by law.

Upon termination:

• Your right to use the Services ends immediately
• Certain data may remain in backups as required for legal or compliance purposes
• Provisions that by their nature should survive termination will survive

We do not warrant that:

• The Services will meet your requirements
• The Services will be error-free or uninterrupted
• The outputs will be accurate or reliable
• Any content will achieve any particular performance result

To the maximum extent permitted by law, our total liability for any claim will not exceed the greater of the amount you paid to ClipScore in the 12 months before the claim arose, or USD $100.

Some jurisdictions do not allow certain exclusions or limitations, so some of the above may not apply to you.

You agree to defend, indemnify, and hold harmless ClipScore and its officers, directors, employees, affiliates, contractors, and service providers from any claims, liabilities, damages, losses, costs, and expenses arising out of or related to:

• Your User Content
• Your use of the Services
• Your breach of these Terms
• Your violation of any law or third-party right
• Your use of connected platform data or third-party integrations

These Terms are governed by the laws of the State of Delaware, United States of America, without regard to conflict of law rules. Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in New Castle County, Delaware, unless applicable law requires otherwise.

We may update these Terms from time to time. If we make material changes, we will post the updated version and update the “Last Updated” date. Your continued use of the Services after the updated Terms become effective means you accept the revised Terms.

These Terms, together with the Privacy Policy and any additional plan or feature-specific terms we provide, form the entire agreement between you and ClipScore regarding the Services.

• If any provision is found unenforceable, the remaining provisions remain in full force
• Our failure to enforce any provision is not a waiver of that provision
• You may not assign these Terms without our prior written consent
• We may assign these Terms in connection with a merger, acquisition, or sale of assets
